Marketing Company Is Being AcquiredThe Catalina Marketing Corporation, which concentrates on consumer behavior and direct marketing, agreed yesterday to be acquired by its largest shareholder, ValueAct Capital, in a deal that values the marketing services company at nearly $1.6 billion. The offer price of $32.10 for each Catalina share ValueAct does not already own was a 7.5 percent premium to the Wednesday closing price, $29.85. The deal includes the assumption of about $135 million of debt by ValueAct, a buyout firm that a Catalina director, Jeffrey W. Ubben, helped found. ValueAct previously offered $32 a share for Catalina. Catalina, based in St. Petersburg, Fla., said it could solicit or entertain alternative proposals from third parties during the next 45 days. The company posted revenue of $123.1 million in the latest quarter, up nearly 27 percent from the year-ago period.
